Cooling-Off Period in Dubai Off-Plan Purchases — What German Buyers Need to Know

Dubai does not recognize a statutory consumer right of withdrawal. A 14-day right of rescission, taken for granted in Germany under § 312g BGB (right of withdrawal for off-premises contracts), does not exist for off-plan purchases in Dubai. Anyone who signs the Sale and Purchase Agreement (SPA) and pays the reservation fee (typically 5–10 % of the purchase price) is bound. Reversal follows a strict tiered schedule based on construction progress — governed by Dubai Law No. 13 of 2008, Article 11, as amended by Amending Laws 9/2009 and 19/2017.

Why § 312g BGB Does Not Apply

The purchase contract for a property located in Dubai is regularly subject to the law of the place where the property is situated (lex rei sitae). Even if a sales event takes place in Munich or Hamburg and the SPA is signed there, the substantive validity, transfer and reversal are governed by the law of the UAE — specifically UAE federal law plus the emirate law of the Emirate of Dubai. § 312g BGB (consumer's right of withdrawal for contracts concluded outside business premises) does not apply to the substantive statute.

Practical consequence: The sales pressure often exerted by some sales agents at roadshows — "You reserve today with 10 %, in 14 days you can withdraw anyway" — is legally incorrect. The 10 % reservation fee is binding upon signature. A withdrawal triggers the tiered schedule above.

The Three Legitimate Exits

Mutual rescission: The developer agrees to a reversal against a fee — in practice rare, since developers in ongoing sales phases have no interest in returned units.

Silent resale (assignment): Sale of the SPA to a third party before handover against the developer's NOC + transfer fee — see NOC in Off-Plan Transfers.

Practical Due Diligence Before Signature

  • Have the full SPA text reviewed at least 48 hours before signature in German translation or by a UAE-licensed lawyer.
  • Verify the escrow account number and RERA project number in the SPA — retrievable via the DLD REST portal.
  • Check the payment plan clause for linearity — lump-sum concentration before handover is a warning sign.
  • Force majeure clause: check which delay grounds can be unilaterally asserted by the developer.
